By creating an account, signing in, or otherwise using the Service, you ("you", "the user", "the distributor") agree to these Terms & Conditions in full. If you do not agree, do not use the Service. These terms apply in addition to our Privacy Policy and Compliance & Regulatory Standing page.
VFS Office ("we", "us", "the Company") provides a software back-office tool for Mutual Fund Distributors — GST & commission invoicing, calculators, client/AMC information management, reporting, and related utilities. The Service is a productivity and record-keeping tool only. It does not provide investment advice, and nothing generated by it (a calculation, report, or document) is a recommendation to buy, sell, or hold any financial product. Every professional obligation to a client — suitability, disclosure, advice, and regulatory compliance — remains entirely yours, under your own AMFI/SEBI/IRDAI/PFRDA standing, not ours.
We may suspend, restrict, or terminate your account or access to any part of the Service, at any time, with or without prior notice, and with or without cause, at our sole discretion — including but not limited to suspected misuse, a breach of these Terms, non-payment, suspected fraud or illegal activity, a request from a regulator or law-enforcement authority, or a decision to discontinue the Service or a feature of it. We are not liable to you or any third party for any suspension, restriction, or termination carried out under this section.
You may close your own account at any time via My account → Delete my account. Closing your account does not entitle you to a refund of fees already paid for the current billing cycle.
To the fullest extent permitted by law:
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any defect will be corrected, though we make reasonable efforts to keep it reliable.
To the fullest extent permitted by law, VFS Office's total liability to you for any claim arising out of or relating to the Service, however framed, is limited to the fees you actually paid us in the three (3) months immediately preceding the claim (or ₹0 if you are on a free plan). In no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, business, or data, even if we have been advised of the possibility of such damages.
You agree to indemnify and hold VFS Office, its owners, and staff harmless from any claim, liability, loss, or expense (including reasonable legal fees) arising from: your use of the Service; your breach of these Terms; your failure to comply with any regulatory obligation applicable to your business; or any data, document, or communication you create, upload, or send using the Service, including to your own clients.
The Service — its software, design, branding, and content — is owned by VFS Office and protected by applicable intellectual property law. Using the Service does not grant you any ownership of it. You retain ownership of the business data you enter (client records, contacts, documents you generate), subject to the license you grant us to process it solely in order to operate the Service for you.
We may update these Terms at any time. If we make a material change, we'll update the "Last updated" date above; continued use of the Service after a change takes effect constitutes your acceptance of the revised Terms. If you do not agree with a change, your only recourse is to stop using the Service and close your account.
These Terms are governed by the laws of India. Any dispute arising out of or relating to the Service or these Terms is subject to the exclusive jurisdiction of the courts having authority over VFS Office's registered place of business.
